Bridge

BRIDGE TERMS OF SERVICE

Effective Date: September 7, 2026

Bridge is a brand operated by Simplora, Inc.

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Simplora, Inc., doing business as Bridge (“Bridge,” “we,” “us,” or “our”), governing your access to and use of Bridge.

These Terms apply to Bridge's websites, applications, video and audio meeting services, meeting intelligence features, workspaces, AI assistants and agents, integrations, APIs, Model Context Protocol services, and other related products and services, collectively, the “Services.”

By creating an account, purchasing the Services, clicking to accept these Terms, or otherwise accessing or using the Services after these Terms are presented to you, you agree to be bound by them. If you do not agree, you may not use the Services.

If you access or use Bridge for or on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. In that circumstance, references to “you” may include the applicable organization where appropriate.

If Bridge and you have entered into a separate written agreement, order form, master services agreement, data processing agreement, or other agreement governing the Services, that agreement will control to the extent of any direct conflict with these Terms.

1. Definitions

For purposes of these Terms, “Account” means a registered Bridge user account.

“Agent” means an artificial intelligence agent, assistant, automated system, or similar functionality configured or made available through Bridge.

“Agent Action” means an action performed or attempted through an Agent, including an action involving Bridge or a Connected Service.

“Agent Owner” means the user or organization that creates, configures, deploys, controls, or is assigned ownership of an Agent.

“Agent User” means a person authorized or permitted to interact with an Agent.

“Connected Service” means a third-party application, website, API, account, system, or service connected to Bridge.

“Customer Content” means User Content controlled by an organization using the Services.

“Meeting Content” means audio, video, recordings, transcripts, chats, notes, files, messages, shared material, metadata, and other information generated or provided in connection with a meeting.

“Organization” means a company, team, business, or other entity using Bridge.

“Organization Content” means content designated or treated as controlled by an Organization under the Services or an applicable agreement.

“Personal Content” means content associated with an individual user that is not Organization Content.

“User Content” means information, data, communications, files, materials, prompts, instructions, Meeting Content, and other content submitted to, created through, imported into, or processed through the Services by or on behalf of a user.

“Workspace” means a collaborative environment within Bridge.

2. Eligibility and Authority

You must be legally capable of entering into these Terms.

Individuals under 18 may not create a personal Bridge Account unless expressly permitted by Bridge or authorized through an Organization in compliance with applicable law. The Services are not directed to children under 13.

If you use Bridge on behalf of an Organization, you represent and warrant that you have authority to use the Services for that Organization and to provide information to Bridge as necessary for that use.

You may not use the Services if applicable law prohibits you from doing so.

3. Accounts

You are responsible for providing accurate Account information, maintaining the confidentiality and security of your credentials, protecting access to Connected Services, and taking reasonable steps to prevent unauthorized use of your Account.

You are generally responsible for activity performed through your Account or through Agents that you have authorized, except to the extent an issue results from Bridge's breach of these Terms or applicable law.

You must promptly notify Bridge if you believe that your Account or credentials have been compromised, an unauthorized person has accessed your Account, or an Agent has performed an action that you believe was unauthorized.

You may not sell access to your Account, share credentials for the purpose of circumventing licensing restrictions, circumvent usage limitations or subscription requirements, or knowingly obtain unauthorized access to another person's Account.

4. Bridge Services

Bridge provides communication, collaboration, meeting, knowledge, and artificial intelligence functionality.

Depending on your plan and available features, Bridge may enable you to host and join video or audio meetings, communicate through meeting chat, record or transcribe meetings, generate captions, create summaries and notes, extract action items or decisions, receive real-time AI assistance, create and use Agents, collaborate with other users, import existing meetings, capture supported meetings occurring on third-party platforms, store meeting history, search or analyze conversations, maintain persistent meeting context, connect external applications, automate workflows, and use APIs or MCP services.

Bridge may also permit meeting information or functionality to be accessed from external systems or allow users and Agents to initiate actions involving third-party systems.

Available functionality may vary based on your plan, Account type, Organization, device, location, permissions, subscription, technical environment, and product availability.

Bridge may add, modify, restrict, or discontinue functionality over time, subject to applicable law and contractual obligations.

5. Meeting Hosting and Participant Conduct

Users may host or participate in meetings through Bridge. Meeting hosts may control aspects of the meeting according to available Bridge functionality, while individual participants remain responsible for their own communications, conduct, and content.

You may not use a Bridge meeting to harass, threaten, stalk, defraud, unlawfully surveil, or abuse another person; distribute malware; obtain unauthorized information; violate privacy or intellectual property rights; deceptively impersonate another person; disrupt the Services; or engage in unlawful activity.

Bridge does not provide emergency calling or emergency-response functionality and should not be relied upon to contact police, fire, medical, or other emergency services.

6. Recording, Transcription, and Consent

Bridge may enable recording, transcription, captioning, meeting analysis, AI processing, meeting summaries, and persistent storage of meeting information.

Laws concerning recording, interception, monitoring, notice, and consent vary by jurisdiction. If you enable, initiate, upload, import, or otherwise cause Bridge to process a recording or transcript, you represent and warrant that you have the lawful authority to do so.

Meeting hosts and users who enable recording or transcription are responsible for providing legally required notices, obtaining legally required consents, respecting applicable participant rights, ensuring imported recordings were lawfully obtained, and using recordings or transcripts in accordance with applicable law.

Bridge may provide recording indicators, participant notices, consent interfaces, or similar functionality to support lawful use. You may not intentionally bypass or conceal these indicators for the purpose of unlawfully recording or monitoring another person.

7. User Content and Ownership

As between you and Bridge, you retain your ownership rights in User Content, subject to any rights held by other meeting participants, users, Organizations, or third parties.

You grant Bridge a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, process, modify as technically necessary, display to authorized users, and otherwise use User Content solely as reasonably necessary to provide and operate the Services, perform requested actions, provide artificial intelligence functionality, operate integrations, secure and maintain the Services, provide support, comply with law, and enforce these Terms.

This license continues for as long as reasonably necessary to provide the Services and satisfy lawful retention obligations.

You represent and warrant that you have all rights, permissions, and authority necessary to provide User Content to Bridge and authorize its processing as contemplated by these Terms, and that your use of Bridge and your User Content comply with applicable law.

8. Meeting Participant Content

A meeting may contain content, information, confidential material, and intellectual property belonging to multiple participants or organizations.

Participation in a meeting does not automatically transfer ownership of a participant's intellectual property or other legal rights to another participant.

Each user is responsible for determining whether they may lawfully record another participant, reproduce or distribute another participant's content, publish meeting information, use confidential information, share recordings, or upload material belonging to another person.

Bridge does not determine the independent ownership, confidentiality, or legal rights of meeting participants with respect to information exchanged among them.

9. Workspaces

Bridge may allow users to create, join, administer, or collaborate within Workspaces.

Workspace membership may provide workspace-level permissions without automatically providing access to every meeting, file, Agent, conversation, or resource associated with that Workspace.

Access to a particular resource may depend on ownership, sharing settings, resource-specific permissions, Organization configuration, user role, and applicable agreements.

Workspace owners and administrators may have additional rights to manage membership, billing, security settings, integrations, Organization-owned resources, administrative permissions, and other Workspace-level functionality.

10. Personal Content and Organization Content

Bridge may distinguish between Personal Content and Organization Content.

Where content is created within an Organization-controlled environment or is otherwise designated or treated as Organization Content, the Organization may have rights to administer, retain, transfer, access, or delete that content according to Bridge's product functionality, the Organization's configuration, applicable employment or contractual relationships, applicable law, and any agreement between the Organization and Bridge.

Where content remains Personal Content, joining an Organization does not by itself transfer ownership of that content to the Organization.

Removal of a user from a Workspace or Organization may affect the user's access to Organization Content. Such removal does not necessarily cause automatic deletion of content that the Organization is permitted to retain.

Bridge may provide functionality allowing authorized administrators to transfer or preserve Organization Content when members leave an Organization.

Users are responsible for understanding their Organization's policies concerning ownership, retention, confidentiality, and use of work-related content.

If a separate enterprise or customer agreement establishes additional ownership or administrative rights, that agreement controls to the extent of any conflict.

11. Sharing

Bridge may allow users to share meetings, recordings, transcripts, notes, Agents, documents, Workspaces, links, and other resources.

You are responsible for reviewing sharing settings before making information available to other people.

Depending on the functionality selected, recipients may be able to view, copy, download, interact with, use, or further share information that you make available to them.

Revoking access through Bridge does not necessarily delete information or copies that another person has independently obtained or retained.

12. Artificial Intelligence

Bridge uses artificial intelligence and automated systems to provide features such as transcription, summarization, search, retrieval, recommendations, meeting assistance, content generation, analysis, Agents, and workflow automation.

AI-generated output may be incorrect, incomplete, outdated, misleading, or unsuitable for a particular purpose. You are responsible for reviewing important AI-generated information before relying on it or using it to make consequential decisions.

Bridge's AI-generated output does not constitute legal, medical, accounting, financial, employment, or other regulated professional advice.

AI-generated output may not be unique, and different users may receive similar or identical outputs.

Subject to applicable law and third-party rights, Bridge does not claim ownership of output generated specifically for you solely because that output was generated through the Services.

13. AI Agents

Bridge may allow users to create, configure, deploy, share, and interact with Agents.

Depending on their configuration and permissions, Agents may participate in meetings, respond to participants, retrieve Meeting Content, search approved knowledge sources, retrieve Connected Service information, create or modify content, send information, initiate workflows, or perform actions through Connected Services.

An Agent's capabilities are determined by its configuration, permissions, Bridge's technical controls, applicable Organization rules, and restrictions imposed by Connected Services.

14. Agent Owners

An Agent Owner is responsible for configuring an Agent and selecting permissions appropriate for the Agent's intended users and use cases.

By granting an Agent access to a Connected Service, data source, Workspace, meeting, or tool, the Agent Owner authorizes Bridge to permit the Agent to use that access within the limits established by the Agent Owner and Bridge.

If an Agent Owner makes an Agent available to another person, including by adding the Agent to a meeting, the Agent Owner authorizes that person to interact with the Agent within the scope reasonably permitted by the Agent's configuration.

As a result, an Agent User's request may cause the Agent to retrieve information, generate information, use Meeting Content, access an approved Connected Service, or initiate an Agent Action if those capabilities are within the Agent's authorized scope.

Agent Owners should configure Agent access and capabilities with consideration for all people who may be able to interact with the Agent.

15. Agent Users

An Agent User may interact with an Agent only within the authorization reasonably made available by the Agent Owner, Bridge, applicable Organization permissions, and applicable Connected Services.

An Agent User may not knowingly attempt to circumvent Agent permissions, obtain unauthorized information, cause an Agent to expose confidential credentials or secrets, use another person's Connected Service beyond the authorization provided, defeat technical access controls, manipulate an Agent into performing an unauthorized action, or use an Agent to violate applicable law or these Terms.

Being permitted to interact with an Agent does not grant an Agent User unrestricted access to the Agent Owner's data, Accounts, Connected Services, or other information.

16. Agent Actions

Agent Actions may have consequences inside or outside Bridge. For example, an Agent may create a calendar event, update a record, send information, create a task, modify a document, trigger an automation, or initiate another workflow.

Depending on the feature and its configuration, an Agent Action may require explicit confirmation, may proceed automatically based on prior authorization, or may be restricted by Bridge or the applicable Connected Service.

By authorizing an Agent or automation to perform actions without per-action confirmation, the Agent Owner authorizes Bridge to transmit instructions and information reasonably necessary to perform those actions according to the configured permissions.

Users are responsible for reviewing Agent permissions and automation settings before enabling actions that could have material consequences.

Bridge may impose confirmation requirements, permission restrictions, rate limits, audit logging, approval requirements, or other safeguards in connection with Agent functionality.

17. Connected Services

Bridge may allow you to connect third-party services.

By connecting a service, you authorize Bridge to access and interact with that service according to the permissions you grant, the features you use, applicable Agent permissions, automation settings, and instructions you provide.

Connected Services operate under their own terms, privacy policies, and security practices. Bridge does not control the availability, accuracy, security, policies, or continued compatibility of third-party services.

Bridge may modify, suspend, or discontinue an integration where reasonably necessary because of technical, security, contractual, legal, or third-party requirements.

18. Google Services

Where Bridge uses Google APIs, your use of the connected functionality may also be subject to applicable Google terms and policies.

Bridge's handling of information received through Google services is described in the Bridge Privacy Policy.

Users may revoke Google authorization through applicable Google account controls or Bridge integration settings.

19. YouTube API Services

Certain Bridge features may use YouTube API Services.

By using those features, you also agree to be bound by the YouTube Terms of Service available at:

https://www.youtube.com/t/terms

Bridge may modify or discontinue YouTube-related functionality as required by YouTube's terms, APIs, technical availability, or policies.

20. APIs, MCP, and Developer Access

Bridge may provide APIs, MCP services, developer interfaces, access tokens, keys, or other forms of programmatic access.

You are responsible for keeping credentials secure, using programmatic access only as authorized, respecting applicable permissions and rate limits, protecting user information, and avoiding unauthorized access or circumvention of technical restrictions.

You may not use Bridge developer functionality to retrieve information you are not authorized to access.

Bridge may suspend or restrict developer access where reasonably necessary to address security risks, abuse, excessive traffic, legal requirements, technical instability, or third-party platform requirements.

21. Acceptable Use

You may not use the Services to violate applicable law or another person's rights, infringe intellectual property, unlawfully record or surveil another person, facilitate fraud or phishing, transmit unlawful spam, distribute malware, interfere with systems, compromise credentials, access another person's account without authorization, circumvent payment or usage restrictions, or interfere with Bridge's security or operation.

You may not scrape or extract information from the Services except through functionality Bridge expressly provides for that purpose, nor may you reverse engineer the Services except to the extent applicable law prohibits such a restriction.

You may not attempt to extract Bridge's proprietary models, system instructions, non-public security controls, or source code, and you may not use Agents to obtain unauthorized information, access systems without permission, or intentionally perform harmful or unauthorized external actions.

You may not process information subject to specialized legal or contractual restrictions through Bridge unless your use is legally permitted, you have obtained all required rights and permissions, and Bridge has entered into any additional agreement required for that use.

22. Copyright and Intellectual Property Complaints

Bridge respects intellectual property rights.

If you believe material available through the Services infringes your copyright, you may submit a copyright infringement notice containing the information required by applicable law.

A valid notice generally should identify the copyrighted work claimed to have been infringed, identify the allegedly infringing material and provide enough information for Bridge to locate it, include your contact information, include a good-faith statement that the disputed use is not authorized by the copyright owner, its agent, or applicable law, include a statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner, and include your physical or electronic signature.

Copyright notices should be directed to Bridge's designated copyright agent once that agent has been formally designated and published.

Bridge may remove or disable access to allegedly infringing material where appropriate and may terminate Accounts of repeat infringers in appropriate circumstances.

Users may submit counter-notifications where permitted by applicable law.

Nothing in this section constitutes a representation that Bridge or Simplora, Inc. has completed any governmental copyright-agent registration required to qualify for a particular statutory protection.

23. Bridge Intellectual Property

The Services and all associated software, interfaces, designs, branding, logos, documentation, infrastructure, technology, proprietary workflows, and other non-user materials are owned by Simplora, Inc. or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, Bridge grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for their intended purposes.

No ownership rights in Bridge technology, branding, or intellectual property are transferred to you under these Terms.

The Bridge name, associated logos, and other Bridge marks are owned by Simplora, Inc. or applicable licensors.

24. Feedback

If you voluntarily provide ideas, suggestions, recommendations, comments, or other feedback concerning Bridge, you grant Bridge and Simplora, Inc. a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any lawful business purpose without obligation to compensate you.

This provision does not transfer ownership of your User Content to Bridge.

25. Subscriptions and Billing

Certain Services require payment. Pricing, billing frequency, usage allowances, subscription terms, and included functionality will be disclosed when you subscribe or purchase the applicable Service.

By purchasing a subscription, you authorize Bridge or its payment provider to charge applicable subscription fees, disclosed usage fees, and taxes according to your selected billing arrangement.

Unless otherwise stated at purchase, paid subscriptions may automatically renew until canceled. You may cancel using available Account controls or other methods made available by Bridge.

Unless otherwise stated or required by applicable law, cancellation generally becomes effective at the end of the then-current paid billing period.

Payments are non-refundable except where required by applicable law, expressly stated at purchase, or otherwise agreed by Bridge.

Bridge may change pricing or subscription structures upon reasonable notice where required. Failure to pay amounts when due may result in suspension or termination of paid functionality.

26. Free Plans, Trials, and Beta Features

Bridge may offer free Services, trials, beta functionality, early-access functionality, experimental features, or preview releases.

These Services may change substantially, contain errors, be incomplete, have additional limitations, operate less reliably than generally available features, or be discontinued at any time.

Unless agreed otherwise in writing, Bridge does not guarantee the continued availability of free, trial, beta, experimental, or preview functionality.

27. Privacy and Data Protection

Bridge's privacy practices are described in the Bridge Privacy Policy, which is incorporated into these Terms where permitted by applicable law.

Organizations that use Bridge to process personal information may have separate obligations under applicable privacy and data-protection laws.

Where appropriate, Bridge and an Organization may enter into a Data Processing Addendum or other data-protection agreement governing Bridge's processing of Customer Content.

28. Confidentiality

Bridge does not automatically designate all information exchanged between users as legally confidential.

Users are responsible for determining whether they are authorized to disclose confidential, proprietary, regulated, or sensitive information through the Services.

If you and Bridge have entered into a separate confidentiality agreement, enterprise agreement, nondisclosure agreement, or similar contract, that agreement governs information within its scope.

Bridge personnel and service providers may be subject to confidentiality obligations with respect to information they access in connection with providing the Services.

29. Security

Users must take reasonable steps to secure their Accounts and Connected Services.

You may not test, scan, probe, attack, or attempt to compromise Bridge's systems without express authorization.

If you discover a suspected security vulnerability, you should report it to Bridge rather than exploiting the vulnerability or publicly exposing information belonging to Bridge or its users.

Bridge may take reasonable measures to investigate, contain, or remediate suspected security activity.

30. Suspension

Bridge may suspend or restrict access to the Services if we reasonably believe that you have violated these Terms, an Account has been compromised, activity creates a material security or legal risk, payment is overdue, use threatens Service reliability, a Connected Service requires suspension, suspension is necessary to prevent abuse, or suspension is required by law.

Where appropriate, Bridge may attempt to provide notice and an opportunity to address the issue before imposing a suspension.

Urgent security, fraud, abuse, legal, or operational circumstances may require immediate action without advance notice.

31. Termination

You may stop using Bridge at any time and may terminate your Account through available functionality or by contacting Bridge.

Bridge may terminate an Account for material or repeated violations of these Terms or where otherwise permitted by applicable law and contract.

Following termination, your right to access the Services ends. Certain content may be deleted according to the Bridge Privacy Policy, while Organization Content may remain under the control of the applicable Organization. Bridge may retain certain records where reasonably necessary for legal, security, billing, fraud-prevention, or enforcement purposes.

Provisions that by their nature should survive termination will remain in effect, including provisions concerning ownership, payment obligations, disclaimers, indemnification, limitations of liability, and dispute resolution.

32. Service Availability and Changes

Bridge works to provide reliable Services but does not guarantee uninterrupted or error-free availability unless a separate written service-level commitment expressly provides otherwise.

Bridge may modify or discontinue functionality over time. Where a material discontinuation affects a prepaid Service, Bridge will comply with applicable contractual and legal obligations.

Bridge does not guarantee permanent compatibility with every device, operating system, browser, Connected Service, third-party application, or integration.

33. Third-Party Dependencies

The Services may rely on third-party cloud providers, AI model providers, video infrastructure, transcription services, APIs, Connected Services, telecommunications infrastructure, and internet connectivity.

Outages, errors, policy changes, or technical changes involving those third parties may affect Bridge functionality.

Bridge is not responsible for independent third-party services except to the extent liability cannot lawfully be excluded.

34. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

BRIDGE, INCLUDING SIMPLORA, INC. AS THE LEGAL ENTITY OPERATING BRIDGE, DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BRIDGE DOES NOT WARRANT THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. BRIDGE DOES NOT WARRANT THAT RECORDINGS OR TRANSCRIPTS WILL ALWAYS BE COMPLETE OR ACCURATE, THAT AI-GENERATED OUTPUT WILL BE CORRECT OR UNIQUE, THAT AN AGENT WILL ALWAYS INTERPRET AN INSTRUCTION AS INTENDED, THAT AN AGENT ACTION WILL PRODUCE THE EXPECTED RESULT, THAT CONNECTED SERVICES WILL REMAIN AVAILABLE, OR THAT INFORMATION WILL NEVER BE LOST.

YOU ARE RESPONSIBLE FOR REVIEWING IMPORTANT INFORMATION AND MAINTAINING INDEPENDENT COPIES OF INFORMATION WHERE APPROPRIATE.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

35. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMPLORA, INC., AS THE LEGAL ENTITY OPERATING BRIDGE, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITIES, DATA, OR BUSINESS OPERATIONS, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SIMPLORA, INC. ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO BRIDGE FOR THE APPLICABLE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not permit certain exclusions or limitations, so portions of this section may not apply to you.

36. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Simplora, Inc., as the legal entity operating Bridge, and its officers, directors, employees, contractors, and affiliates from third-party claims, liabilities, losses, damages, judgments, costs, and reasonable legal expenses arising out of or relating to your unlawful use of the Services, your User Content, your violation of these Terms, your violation of another person's rights, your unlawful recording of another person, your failure to obtain required consent, your configuration or authorization of an Agent, Agent Actions you authorize, or your misuse of a Connected Service.

This obligation does not apply to the extent a claim results from Bridge's or Simplora, Inc.'s own unlawful conduct, gross negligence, willful misconduct, or breach of an applicable agreement.

37. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

38. Informal Dispute Resolution

Before filing a lawsuit concerning these Terms or the Services, you and Bridge agree to make a reasonable, good-faith effort to resolve the dispute informally.

A party initiating a dispute should provide written notice identifying the party, describing the nature of the dispute and relevant facts, and stating the requested resolution.

Unless urgent injunctive or equitable relief is reasonably necessary, the parties will have at least thirty days after receipt of the notice to attempt to resolve the matter informally before initiating litigation.

39. Venue

To the extent permitted by applicable law, any dispute arising out of or relating to these Terms or the Services that cannot be resolved informally will be brought exclusively in the state or federal courts having jurisdiction in Delaware.

You and Simplora, Inc., as the legal entity operating Bridge, consent to personal jurisdiction and venue in those courts.

Nothing in this section prevents either party from seeking appropriate injunctive or equitable relief relating to intellectual property, confidentiality, unauthorized system access, security, or similar urgent matters.

40. Changes to These Terms

Bridge may update these Terms to reflect changes to the Services, applicable law, business operations, security requirements, or third-party requirements.

If Bridge makes material changes, we may provide notice through the Services, by email, through an Account notice, or by another reasonable method.

Where applicable law requires affirmative consent to updated Terms, Bridge will obtain that consent. Otherwise, continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by law.

The Effective Date at the beginning of these Terms identifies the most recent revision.

41. Assignment

You may not assign these Terms without Bridge's prior written consent.

Simplora, Inc., as the legal entity operating Bridge, may assign these Terms in connection with a merger, acquisition, corporate reorganization, restructuring, sale of assets, sale of substantially all of the Bridge business, or by operation of law, subject to applicable legal requirements.

42. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in full force and effect.

43. Waiver

A party's failure to enforce any provision of these Terms does not waive its right to enforce that provision or any other provision later.

44. No Third-Party Beneficiaries

Except where expressly stated otherwise, these Terms do not create rights in any third-party beneficiary.

45. Entire Agreement

These Terms, together with the Bridge Privacy Policy and any applicable order form, enterprise agreement, supplemental terms, Data Processing Addendum, or policy expressly incorporated into these Terms, constitute the agreement governing your use of the Services.

A separately signed agreement controls to the extent of a direct conflict with these Terms.
